Evernorth’s Nasdaq Debut Starts With a Balance-Sheet Question

Gross proceeds, token holdings and the number of economic claims must reconcile before an XRP treasury gets a meaningful per-share valuation.

Nasdaq’s corporate-action notice assigns XRPN and XRPNW to Evernorth effective October 12. That makes today a useful moment to examine what a listed treasury share actually represents. Nasdaq notice

The analytical task has two parts: identify the assets still owned, then identify every economic claim on those assets. Skipping either step can make a seemingly precise valuation misleading.

Money raised is not a cash balance

Evernorth’s October 9 announcement reports roughly 473 million XRP held and $300 million in gross cash proceeds raised. Company announcement

Those figures describe different things. The first is an asset quantity; the second is a financing flow. The pro forma notes say advance cash funding had already purchased approximately 84.37 million XRP. Pro forma exhibit, note (g)

The implication is important: adding all historical gross proceeds to the value of the token inventory would risk counting the same capital twice. Once cash buys tokens, its value has changed form. It does not remain a second asset alongside those tokens.

A sound reconciliation would start with cash actually remaining, add consistently valued assets, then account for debt, expenses and other obligations. It would also distinguish unrestricted resources from assets committed elsewhere. This is an accounting boundary, not a judgment about whether the strategy will succeed.

The share count has an economic perimeter

The closing filing lists approximately 22.27 million Class A shares, 32.21 million Class C shares and 11.74 million warrants. Closing 8-K

The charter gives Class A and Class C equal per-share distribution rights, despite different voting rights. Corporate charter The operating-company agreement also provides conditional share or cash settlement for outside holders’ units. LLC agreement, Article 10

Consequently, dividing all group assets by the quoted Class A count alone would not establish each shareholder’s economic entitlement. A consolidated numerator requires a denominator that recognizes the other owners, or an explicit adjustment for their interests. A security need not trade freely to carry an economic claim.

Nor should every potential share be treated identically. A conversion of an already-counted ownership claim can change its legal form without creating new economic ownership. A warrant exercise can instead bring additional cash alongside additional shares. Evernorth’s warrant agreement sets a $11.50 exercise price, with cashless provisions and other conditions. Warrant agreement A dilution scenario must model the applicable proceeds and terms, rather than simply inflate the share count.

Growth needs a per-share test

Consider a purely illustrative treasury with 100 tokens and ten equal shares. If it issues three shares to acquire 20 more tokens, holdings rise to 120, but tokens per share fall from ten to about 9.23. This example assumes no other assets, liabilities or costs; it is not an Evernorth valuation.

Conversely, issuance that brings in net assets above the existing per-share level can increase that level before costs. The useful question is therefore what each financing or deployment does to existing owners’ claims after expenses and risk, rather than whether the treasury becomes larger.

A helpful post-close disclosure would reconcile token inventory, remaining cash, liabilities, outside economic interests and potential issuance on one consistent date. Until that bridge is clear, an apparently cheap or expensive share-to-token ratio can be an artifact of mismatched inputs. Today’s listing milestone is real; a defensible per-share asset calculation still requires the complete picture.
